Terms of Service

1. Who we are and when these terms apply
These terms and conditions apply to all quotes, agreements and work of darioa, the sole proprietorship of Dario Albers (KVK 42167593, VAT ID NL005551357B38, Vlierstraat 196, 7544 GJ Enschede, the Netherlands), "darioa" below, and to the use of this website. They are intended for business customers. The customer's own terms do not apply unless darioa has accepted them in writing. If a quote or SOW differs from these terms, the quote or SOW prevails.
2. Quote and agreement
A quote is valid for 30 days and states the scope, the fixed price, the schedule and what is not included. The agreement is made when the customer accepts the quote or SOW, including by WhatsApp or email, or when darioa starts work on the order with the customer's consent. Anything not in the quote is outside the assignment.
3. Prices and VAT
All prices on the website and in quotes are in euros and exclude 21% VAT unless stated otherwise. Prices marked "from" are indicative; the fixed price for your project is in the quote before you pay anything. For additional work outside the quote, darioa charges €95 per hour excluding VAT, agreed in advance.
4. Payment
For a website with or without a database you pay for the build and the first hosting period after approving the preview, before the site goes live. For a webshop, online payments or custom work you pay half before the start and the rest on delivery. Hosting plans are invoiced monthly in advance. Invoices are payable within 14 days of the invoice date, via Mollie (iDEAL, card, PayPal) or bank transfer. If payment is late, the customer is in default without notice: darioa may suspend work, charge statutory commercial interest and pass on reasonable collection costs. Payments may not be set off or withheld.
5. Performance, schedule and delivery
darioa performs the assignment on a best-efforts basis, with the care of a skilled web developer. Stated schedules are target dates: a website without a database usually goes live within 2 working days of approval and payment once all details are in, and sites with a database, webshops and systems usually take 2 to 6 weeks. After delivery the customer has 7 days to review. If the customer reports no defects in that time, or puts the work into use, it is deemed accepted.
6. What we need from the customer
The customer provides correct copy, images, access and feedback on time and is authorised to place the order. Missing input or late feedback pushes the schedule back, and darioa is not responsible for the resulting delay. The customer warrants that supplied material does not infringe the rights of others.
7. Changes and additional work
Changes after the quote has been accepted may affect price and schedule, and darioa will say so in advance. Small adjustments within scope are included; new features, extra pages or a different direction are additional work. A small change after delivery, such as a text, photo, opening hours or contact details, costs €10 per request; a hosting plan includes 3 small changes a year. Other changes after delivery fall under the hourly rate or a fixed price agreed in advance.
8. Ownership and intellectual property
After full payment the customer receives the rights to the delivered website, design and content made specifically for the customer, unless the SOW says otherwise. Until then the customer may not use the work without darioa's permission. Open-source software, fonts, stock material and third-party services are governed by their own licences. darioa keeps the rights to its own reusable components, tools and know-how and may use them for other customers. Unless the customer refuses in writing before delivery, darioa may show the project by name and with screenshots in its portfolio.
9. Hosting, domains and maintenance
Hosting, domain names, maintenance and third-party subscriptions are part of the assignment only if the quote lists them. A domain name is registered in the customer's name wherever possible. Every hosting plan includes one .nl domain. The Website hosting plan has a minimum term of 12 months and can then be cancelled monthly with one month's notice. The Database and Payments plans run monthly and can be cancelled with one month's notice. If the customer wants the site moved elsewhere, darioa will cooperate; the costs are in the quote or follow the hourly rate. darioa aims for reliable operation but does not guarantee uninterrupted availability unless the SOW says so. Hosting plans include a monthly amount of usage (traffic and database), stated in the quote or SOW. Usage above that is extra usage and is invoiced monthly in arrears at fixed rates, excluding VAT: €0.20 per GB of bandwidth, €0.15 per database compute hour (CU-hour) and €0.50 per GB of database storage per month. darioa warns by email at 80% and 100% of the included usage and asks for permission in advance if extra usage threatens to exceed the agreed maximum. If the customer does not respond within 24 hours, darioa may throttle the site or take it offline temporarily to limit costs. Traffic from attacks and unwanted bots is not charged where darioa could reasonably have taken measures against it.
10. Third-party services
Websites often run on third-party services such as Vercel, Mollie, WhatsApp, Resend, Moneybird and domain registrars. darioa is not responsible for outages, price changes or terms of those parties. The customer is responsible for their own accounts with those parties unless the SOW says otherwise.
11. Warranty and defects
darioa fixes free of charge any defect the customer reports in writing within 30 days of delivery. This does not cover problems caused by changes made by the customer or third parties, by third-party services, or by use outside the agreed scope. darioa does not promise search ranking, visitor numbers, revenue or error-free operation.
12. Liability
darioa's liability is limited to direct damage and to the amount the customer paid for the assignment in question, excluding VAT. For ongoing services this is the amount for the last six months. darioa is not liable for indirect damage such as lost revenue or savings, reputational damage or data loss. This limit does not apply in case of intent or deliberate recklessness by darioa. A complaint must be reported in writing within 30 days of when the customer could have discovered the damage; after that the right to compensation lapses.
13. Termination
Either party may terminate the agreement in writing if the other party fails to perform despite a written notice with a reasonable deadline, or in case of bankruptcy or suspension of payments. If the customer ends a project early, the customer pays for the work already done and for costs darioa has already incurred; any advance payment is set off against that. Provisions that by their nature are meant to continue, such as payment, ownership and liability, remain in force.
14. Force majeure
If darioa cannot deliver because of circumstances beyond its control, such as an outage at a hosting provider, illness, an internet or power failure or a cyberattack, that is force majeure and the obligations are suspended. If it lasts longer than 60 days, either party may terminate the agreement.
15. Personal data
How darioa handles personal data is described in the privacy policy. If darioa processes personal data on the customer's behalf, for example through a webshop or form, the parties will sign a data processing agreement at the customer's request.
16. Use of this website
The information on this website is compiled with care but may change without notice. Do not use the website for unlawful content, abuse, attacks, spam or attempts to circumvent security. Prices and availability shown on the website are not a binding offer.
17. Governing law and disputes
Dutch law applies to all agreements. The parties will first try to resolve a dispute by talking. If that fails, the competent court in the Overijssel district decides.
